1. This agreement is a guaranteed quote to complete the below described advertising and promotions.

2. GooglerTV has developed trade secrets to allow you the Yello Pages advertiser to be listed first place before your competition in your local
area yellow pages and white page phone book, and to print ".com" in your phone book advertising listing explaining immediate you are also
available online.

3. The purpose of this agreement is to advertise you:
#1 Very first white pages alphabetical "A" two line high bold as: AAA-4Your-Company.com/Your_County 222-123-4567
#2 First alphabetical order white pages listing two line high bold as: Your-company.com/Your_County 222-123-4567
#3 First place in column yellow pages your business category two line high bold as: Your-company.com/Your_County
222-123-4567
#4 Design and host a one page TV YouTube type webpage for your above .com domains
#5 Optimize your above .com website designated to you in major google top search engine ranking.
#6 Optimize your designated .com phone number in your yellow page & white page telephone company online information listings.
#7 Produce your 5-60 second Video Profile infomercial distributed on GooglerTV video-share websites and your website showcasing your
company's benefits and location, using your photos and branding.
#8 GooglerTV simply desires to guarantee you are seen first before your competition both in your phone book and the internet.
#9 There may be additional special heading categories in your yellow pages section, each phone book company is different and may include
either less or additional special headings, explain your speciality nich. If you would like to be included in any of these special headings please
select in 1-2-3 order on separate attachment the most important choices to you, as available for additional charge we will place you in bold two

4. Time is of the essence, yellow pages have a print deadline.

5. You receive a rep that works with you concerning your phone book alphabetical listings, your web optimization ranking, and your media filming
commercials to be streamed online.

6. GooglerTV counts both your website hits and phone calls you receive.
a) Phone calls are counted as "call forwarded" to your business line of your choosing. (NOTE: you are encouraged to train your new customer to
call another line your free phone, our forwarded phone costs you money and is counted by GooglerTV as a new phone call.
b) Website hits are counted as consumer is directed first to GooglerTV A-A-A1Your-company.com channel, there you are advertised as the only
listing in your area, when consumer clicks you they are then linked to your GooglerTV one page video website playing your TV commercials, once
the consumer enters that page they are then counted as one hit, they are then directed to your existing webpage, (if you do not have and/or
need to update and/or like to add TV to your present website, for additional $75 an hour, GooglerTV will design and/or work with your webmaster
to design your website to your liking).

7. You should explain in your advertising "you can find us in the white pages", this explains you are stable, have been in business for some time,
and super easy to find!

8. GooglerTV incurs a large expense processing and registering your above .com domains, for listing each individually in your phone book,
designing website labor, producing your video profile ad, etc, etc, these start-up costs are passed onto you as a non-refundable processing fee.
You agree to pay in full a non-refundable processing registration fee for processing you as follows:

9. Cost for your above: #1 thru #5 alphabetical headings, #6 TV YouTube type webpage, #7 Top google optimization, #8 online telephone listing
information,, #9 Video profile ad, are as follows:
a) Down payment $4,900 for processing, and 4,900 per month beginning when your yellow pages book is published, continuing for twelve (12)
months payable on the 1st of each month.
b) $1.00 per phone call forwarded to your designated office phone number.
c) $1.00 per GooglerTV website hit forwarded to your website and/or Email.
d) #11 Special heading categories in Plumbing yellow pages: $450 each, processing payment $450 is due at your processing.
NOTE: Less expensive than your full page yellow pages advertising and for certain better results!

10. You agree to pay each monthly billing period for the Your-company category to be listed first alphabetical order in your phone book as
described above, including the $1. charge for each website hit and forwarded telephone call to you per this agreement.

11. You may cancel this agreement at anytime with your providing 30 day notice and payment of the 30 day notice period.

12. Guaranteed or you don't pay!
GooglerTV warrantees your information to be listed in column alphabetical firsts in column listing in bold two line high or you don't pay (accept for
your processing/registration costs paid upfront and are non-refundable).

13. It is agreed GooglerTV cannot be held responsible for phone book company errors, e.g. misplacement, mis-spelling, mis-categorized, not being
bold, etc., etc. GooglerTV is not the phone book or telephone company, only submits your information for placement, and cannot be held liable
for any phone book error(s). In any manner if you do not receive first placement in column listing as warranted in paragraph 4. #1 through #5 of
this agreement, then you do not pay, deductions for partial non-payment are to be adjusted as follows:
a) No placement: no charge
b) One of the three listings are not listed: no charge for that listing, 33% off for that listing not listed in agreed alphabetical category.
c) Not listed in correct category: no charge for that listing, 33% off for that listing not listed in agreed alphabetical category.
d) Not in bold: deduction of what your phone book company charges additional for bold.
e) Not Two line high: deduction of the difference what your phone book company charges for two lines high from one line high.
f) Wrong phone number: no charge for that category, except full charge for website hits forwarded do not change.

Special heading categories: as described in paragraph 4. #9 are to be calculated separate individually per the cost of each category and are not
included as the same alphabetical headings described in paragraph 4. #1 through #5, and are deducted according to the individual $450 cost of
that special heading as:
a) No special heading catagory placement: no charge for that special heading category.
b) Not listed in correct special heading category: no charge for that special heading category
c) Not in bold: deduction of what your phone book company charges additional for bold.
d) Not Two line high: deduction of the difference what your phone book company charges for two lines high from one line high.
e) Wrong phone number: no charge for that special heading category, except full charge for website hits forwarded do not change.

14. Any alterations or deviations from the above described advertising specifications involving extra costs either labor, costs, software,
programming, etc, will become an extra charge-off over the sum mentioned in this agreement.

15. This agreement constitutes the entire understanding between the parties. Any prior agreements or misunderstanding, regardless of whether
they are verbal or written, which are inconsistent with the terms if this agreement shall be null, void, and of no further affect.

16. This agreement shall be interpreted according to the laws of the State of California. Venue for any litigation arising out of this agreement
shall lie exclusively with the Orange County, California, Superior Court. If any portion of this agreement is found not to be valid the remaining
portion will remain valid and remain in full affect.

17. This agreement is in full affect being completed and expires exactly 12 calendar months thereafter subject yellow pages publication.

18. To sign-up you need to be assigned a rep, your rep guarantees first place placement or you don't pay. If you do not have an assigned
representative, please contact Christian D'orr. NOTE: There's only room for one in first place.
